Sensemaking for Boards

The board can only navigate as clearly as the information it receives.

Independent financial review and governance advisory for boards and business owners approaching a significant transition.

Ask yourself:

"If you were asked what the financial situation of the company is — could you find the answer without asking someone?"

Most board problems are information problems

"Ever felt like the person on the other side of the boardroom table doesn't actually understand what you are saying, even if they say they do? Usually you're not wrong."

By the time a transition arrives — investment, regulatory review, a change of ownership, a harder question from a new NED — the picture you have of the business may not reflect what is actually happening.

Not because anyone is hiding anything. Because financial information rarely flows cleanly through a growing organisation. What reaches the board is filtered, delayed, or framed by the people who prepare it.

The gap between what the board is told and what is actually happening is almost always wider than anyone realises — until it matters.

That is the moment when an independent eye — one that has reported to boards and sat on them, and knows what good looks like — is most valuable.

Approaching investment

Investors will ask questions the board cannot yet answer clearly.

Regulatory scrutiny

A regulator or auditor is asking harder questions than usual.

Transition or growth

The business has outgrown the information structures around it.

How we work together

Two ways in, depending on where you are.

1

Board Diagnostic → Review

Start with a focused diagnostic session. I review your board minutes, management accounts, and reporting packs ahead of a two-hour working session. You receive plain-English findings on what information exists, what reaches the board, and what the gaps mean.

For boards where the diagnostic uncovers material gaps, this naturally leads into a short scoped engagement — the Information Flow & Financial Risk Review — to address them before they matter.

Ongoing Advisory

For boards and business owners who want an independent finance perspective on an ongoing basis — not a full-time hire, but a trusted resource available between the large moments.

Dedicated time each month, direct access, and a response within one working day. The same forensic rigour applied to the decisions and information that cross your desk.

Monthly advisory retainer

Not sure which path fits? Send a short email describing where you are and I'll suggest the most useful starting point.

Common questions

Things boards and business owners usually ask before we start.

Will you sign an NDA?
Yes. Confidentiality is standard on every engagement. I will sign whatever NDA you need before receiving any documents or information. If your legal counsel wants to review the form of confidentiality agreement, that is straightforward to arrange.
What documents should we prepare?
Board minutes, management accounts, and any reporting packs currently provided to the board are a good starting point. I will send a short preparation note before the session so you know exactly what to gather. You do not need to prepare anything formal — working documents are fine.
How are findings delivered?
In writing, in plain English, after the session. No technical jargon, no reports designed to protect the author. You receive a clear summary of what I found, what I think it means, and what I would recommend doing about it.
Are you independent?
Yes. I am an independent practitioner — not affiliated with any accounting firm, law firm, or corporate advisory house. I have no prior relationship with your business, its investors, or its advisors unless you have introduced me. Where independence is a formal requirement of an engagement, I can confirm this in writing.
What happens after the diagnostic?
That depends on what we find. For some boards, the diagnostic alone provides enough clarity to act. For others, it leads naturally into a short scoped engagement — the Information Flow & Financial Risk Review — to address the gaps identified. There is no obligation and no pitch at the end of the session.
